FOURTH AMENDMENT TO THE AGREEMENT FOR SERVICES BETWEEN THE CITY
OF GILROY AND CSG CONSULTANTS, INC.
This Fourth Amendment to the Agreement for Services is made and entered into as of July 1,
2024 (Effective Date), by and between the City of Gilroy, a California municipal corporation (City),
and CSG Consultants, Inc. (Consultant).
WHEREAS, the City and Consultant entered into the Agreement for Services between the City
and Consultant (Agreement) in effect from 8/4/2020 to 6/30/2021 and a total compensation paid to
Consultant not to exceed $175,000; and
WHEREAS, the City and Consultant entered into the First Amendment to the Agreement on
5/1/2021 to extend term of the Agreement to 6/30/2022; and
WHEREAS, the City and Consultant entered into the Second Amendment to the Agreement on
6/30/2022 to extend term of the Agreement to 6/30/2023; and
WHEREAS, the City and Consultant entered into the Third Amendment to the Agreement on
10/17/2022 to extend term of the Agreement to 6/30/2024 and increase the total compensation paid to
Consultant to an amount not to exceed $455,000; and
WHEREAS, City and Consultant have determined that it is in their mutual interest to amend
certain terms of the Original Agreement.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. The first paragraph of Article 1 (TERM OF AGREEMENT) of the Agreement shall be
amended to read as follows:
“This Agreement will become effective on August 4, 2020 and will continue in effect through
June 30, 2025, unless terminated in accordance with the provisions of Article 7 of this Agreement.”
2. This Fourth Amendment to the Agreement shall be effective on July 1, 2024.
4. Except as expressly modified herein, all provisions of the Agreement shall remain in full force
and effect. In the case of any inconsistencies between the Agreement and this Fourth Amendment, the
terms of this Amendment shall control.
5. This Fourth Amendment may be executed in counterparts, each of which shall be deemed an
original, but all of which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have caused this Fourth Amendment to be executed as
of the dates set forth besides their signatures below.

CSG Engineering Division Hourly Rates

CSG Consultants services are billed on a time-and-materials basis according to our standard rates,
shown below.

Two-Person Survey Crew $395
All hourly rates include overhead costs including, but not limited to, salaries, benefits, workers compensation
insurance, travel and office expenses. CSG will coordinate the pickup and return of plans between CSG and agency
offices. Overtime services and services provided outside of normal business hours will be billed at 1.5x the applicable
hourly rate. On July 1 of each year following the contract start year, CSG will initiate a rate increase based on change
in CPI for the applicable region. CSG will deliver an invoiceevery month for services rendered during the previous
month.
